These Terms of Service ("Terms") are a binding agreement between you and [Legal entity: owner to supply], which is based in [Jurisdiction: owner to supply] ("we," "us" or "our"), which runs ugcathome.com (the "Site") and publishes the guide known as The UGC at Home Method.
Order confirmations, sign-in emails, product emails and support replies come from email addresses at ugcathome.com (the Site's own domain). When these Terms say "the Site," they include those emails and the members area.
By visiting the Site, buying any product, or opening anything we deliver to you, you agree to these Terms and to our Privacy Policy and Refund Policy, which are part of these Terms. If you don't agree, please don't use the Site or buy anything.
We sell digital teaching products: a written course delivered as PDF files, with guides, worksheets, scripts, storyboards, templates and designs ("Products"). They are self-paced and for information only. They are not coaching, a done-for-you service, a franchise, a business opportunity as defined by any business-opportunity law, a job, or an offer of work. We don't find you clients, place you with brands, or give you brand contacts or leads.
Unless a product page says otherwise, Products don't include live teaching, one-to-one help, ongoing mentoring, review of your videos or pitches, or a promised answer to individual questions.
If we say "lifetime access" or "lifetime updates," we mean access for as long as we offer the Product concerned, not access forever and not for your lifetime.
At checkout you can add optional products by ticking a box. Anything you tick is included in the one total shown before you pay, and is charged in that one payment.
Please read this paragraph carefully. It covers charges made after your first payment.
After your first purchase you may see one or more optional offers. If you accept one by clicking its button, you authorize us to charge the payment method from your first purchase for that offer's stated price, at that moment, without entering your card again. Each price is shown on the offer page before you accept. Declining an offer, closing the page or leaving it charges you nothing. No offer starts a subscription, a recurring charge, a trial that turns into a charge, or any future charge beyond the one-time amount you accepted.
Each accepted offer is a separate charge and may show as a separate line on your statement. It is covered by the same guarantee as your first purchase, and a refund always covers your whole order, including these offers.
45-day money-back guarantee: finish Module 1, the 14-day plan. If your Done record shows your lane, your Yes/No rules, one finished sample video, a portfolio page that shows it, and one pitch written, and the guide isn't for you, email us within 45 days of purchase for a full refund. You never have to send a pitch, get a reply or land a deal. A refund is always your whole order. How to ask is set out in our Refund Policy, which is part of these Terms.
Nothing in these Terms limits any right you have as a consumer under the law of the state or country where you live that can't be waived.
If you have a problem with a charge, please contact us first at support@ugcathome.com. A refund under our guarantee is usually faster than a dispute, and we want the chance to put things right.
9.1 Please contact us first. Please bring any problem to us directly before you file a chargeback or payment dispute, so we have a fair chance to put it right.
9.2 A dispute without grounds breaks these Terms. Filing a chargeback or payment dispute breaks these Terms where you authorized the charge, the Product was delivered as described in section 7, and you did not contact us first.
9.3 Your license ends. The license in section 10 is given in return for payment. If you reverse that payment by chargeback or dispute, the license ends automatically at the moment the payment is reversed, without notice and without anything further from us. From then on you have no right to open, keep, copy or use any Product, and you must delete every copy you have.
If you reverse a payment for a Product, your access to it ends. We keep records of each purchase, delivery, email, sign-in and download, including the email address used, the date and time, and the IP address. We keep every remedy available to us as copyright owner, including asking a court to stop the use, damages and legal costs. This is separate from the outcome of any payment dispute and continues after it.
9.4 Access and future purchases. While a dispute is open, your access to the Products in the disputed payment is removed. If the dispute is decided in our favor, that access comes back. We may decline to sell to you in future and may decline to restore access on a later payment.
9.5 Evidence. You agree that our records of your purchase, delivery, sign-ins, downloads, IP address, browser and device information, and emails may be given to the card network, Whop, or any court or tribunal as evidence, and that they are evidence that the Product was delivered and accessed.
9.6 Costs of a dispute without grounds. Where a dispute has no grounds under section 9.2, you agree to repay the dispute fee actually charged to us by Whop or the card network for that dispute, plus any reasonable costs of collecting it. Any amount we claim is limited to the loss we actually suffer and is not a penalty. We will show you evidence of the fee if you ask. Nothing here requires you to pay any amount that can't lawfully be recovered where you live.
9.7 Withdrawing a dispute. If you filed a dispute by mistake, tell us and withdraw it with your card issuer. If you do that promptly, we won't treat it as a breach, and your access and guarantee stay as they were.
The Products are for teaching and information only. We are not lawyers, accountants, tax advisers, financial advisers, benefits counselors or insurance brokers, and nothing in any Product is legal, tax, accounting, financial, benefits, insurance or regulatory advice.
Paid creator work can involve tax on self-employment income, rules that can reduce Social Security, SSI, SSDI or other benefits, FTC rules on endorsements and disclosure, contracts and usage rights, and business registration, and these differ by state and by person. The lessons on taxes and benefits explain general rules and are not tax advice. The agreement in the course and the templates in the Client Pack are starting points for a lawyer to check, not legal advice. You alone are responsible for finding out and following the rules that apply to you, and you should talk to a qualified professional before you act. Buying a Product doesn't create any professional, advisory, agency, partnership, employment or client relationship between us.
We make no guarantee, promise or representation of any kind about income, earnings, deals, clients or business results.
Our full Earnings Disclaimer is part of these Terms.
If we show a testimonial, review, comment or story on the Site or in our ads, it reflects the experience of the person who gave it.
If you send us a review, testimonial, photo, video, result, comment or suggestion and tell us we may use it, you give us a worldwide, perpetual, royalty-free license to use, reproduce, shorten and display it on the Site, in our marketing and in ads, with your first name, last initial and state. We ask before we use anything publicly, and we never use a photo or video that shows a child. You confirm that what you send is true, is your own, and doesn't infringe anyone's rights. You can withdraw your permission for future use by emailing us, and we will stop using it in new material within a reasonable time.
We advertise on platforms including Meta (Facebook and Instagram) and aim to follow their advertising policies and applicable advertising law, including the Federal Trade Commission's rules on endorsements and earnings claims. Our ads are not endorsed or sponsored by any platform. A brand or product named in the Products is not a brand that endorses us or works with us. If you think an ad of ours is inaccurate or misleading, please tell us at the support address below.
You understand that pitching brands and doing paid creator work carry risk, including unpaid time, brands that don't pay, scams and losing money, and that you are responsible for your own decisions and what follows from them. You use the Products, and act on anything in them, at your own risk. As far as the law allows, you release us from any claim arising from business decisions you make in reliance on any Product.
As far as the law allows:
You agree to indemnify, defend and hold harmless [Legal entity: owner to supply] and its owners, employees, contractors and agents against any claim, demand, liability, loss, damage, cost or expense (including reasonable legal fees) arising from: your use of the Site or any Product; your breach of these Terms; your infringement of anyone's intellectual property or other rights; your creator work, including what you say on camera, how you disclose brand deals, the agreements you sign, and any tax or benefits matter; or any unlawful act or omission by you. This continues after these Terms end.
You agree not to:
We may pause or end your access to any or all Products, with or without notice, if you: break these Terms; share, resell or redistribute a Product; file a dispute without grounds as described in section 9.2; misuse the guarantee by buying and refunding over and over; abuse the people who run the Site or other customers; or use a Product for anything unlawful.
Where a breach can be fixed and isn't serious, we will normally give you five business days to fix it before ending access. Ending access for a breach doesn't entitle you to a refund. Sections that by their nature should continue after access ends, including copyright, disclaimers, limitation of liability, indemnification, dispute resolution and governing law, keep applying.
The Site relies on services from other companies, including Whop (payments and merchant of record), Resend (sending and receiving email), Vercel (hosting and file storage), Neon (our database), Slack (internal alerts to the people who run the Site), and Meta (advertising and measurement). Your use of those services is subject to their own terms and privacy policies.
The Products mention and link to other companies' tools, apps, gear and websites. Those mentions are for convenience and information. We don't control or guarantee any other company's products, prices, availability, conduct or content. Some links may be affiliate links, which means we may earn a commission at no extra cost to you, and a commission never decides what we recommend. Any dealing you have with another company, including any brand you pitch or work for, is between you and that company.
Our Privacy Policy explains what we collect, why, and how we use it, and is part of these Terms. By using the Site you agree to the collection and use it describes, including cookies and advertising and measurement tracking, and to your information being processed and stored outside the place you live, including in [Jurisdiction: owner to supply], the United States, and other countries where our service providers operate.
If you live in a state with a consumer privacy law, or outside the United States, the Privacy Policy explains the rights you may have and how to use them. No system is completely secure, and we can't guarantee the absolute security of information sent to us.
By using the Site you agree to receive communications from us electronically. These include emails about your order and sign-in, a few emails with tips on using the guide after you buy, and, if you leave your email address without finishing an order, a few reminders about it. You can stop tips and reminders at any time with the link in those emails; that doesn't stop emails about a purchase. You agree that accepting electronically, by clicking a button, ticking a box or completing a purchase, has the same legal effect as a handwritten signature, and that electronic records meet any requirement that an agreement be in writing.
We are not liable for any delay or failure caused by events beyond our reasonable control, including natural disaster, epidemic, war, civil unrest, government action, strike, power or internet failure, cyberattack, or the failure of a hosting, payment, database or email provider. If such an event lasts more than 90 days, either of us may end this agreement by written notice.
Please read this section carefully. It affects how disputes between us are settled. It requires most disputes to go to individual arbitration instead of court, and it gives up your right to a jury trial and to take part in a class action. It also gives you 30 days to opt out.
26.1 Talk to us first. Before starting any formal claim, you agree to try to settle the dispute informally by emailing support@ugcathome.com with a description of the dispute and the outcome you want. We will both make a good-faith effort to settle it within 30 days of that email.
26.2 Binding arbitration. If the dispute isn't settled within 30 days, any dispute, controversy or claim arising out of or relating to these Terms, the Site or any Product, including whether these Terms exist or are valid, what they mean, and how they are performed, broken or ended, will be decided finally by arbitration run by the [Arbitration body: owner to supply] under the [Arbitration rules: owner to supply] in force when the Notice of Arbitration is filed. The seat of arbitration is [Jurisdiction: owner to supply]. There will be one arbitrator, and the arbitration will be in English.
26.3 You won't have to travel. For any claim where the total amount in dispute is under US$25,000, the arbitration will be held on documents only or by video call, whichever you choose, and you won't have to attend in person in [Jurisdiction: owner to supply]. Where the amount in dispute is under US$10,000 and you bring the claim, we will pay the [Arbitration short name: owner to supply]'s filing and administrative fees and the arbitrator's fees, unless the arbitrator decides your claim was frivolous.
26.4 Small claims. Either of us may instead bring an individual claim in a small claims court where the person bringing the claim lives, as long as the claim stays in that court and stays individual.
26.5 Class action and jury trial waiver. As far as the law allows, disputes will be settled only on an individual basis. You and we each give up any right to bring or take part in a class action, collective action, consolidated action or representative proceeding, and each give up any right to a jury trial. The arbitrator may not combine more than one person's claims or oversee any class or representative proceeding. If this paragraph is found unenforceable for a particular claim or remedy, that claim or remedy will be separated and heard in a court with jurisdiction, and the rest of this section still applies to all other claims.
26.6 Your right to opt out. You can opt out of this arbitration section, including the class action and jury trial waivers, by emailing support@ugcathome.com with the subject line "Arbitration Opt-Out" within 30 days of your first purchase, giving your name and the email address you used at checkout. Opting out doesn't affect your purchase, your access to any Product or your refund rights. If you opt out, disputes will be settled under section 27 instead.
26.7 Urgent relief. Nothing in this section stops either of us from asking a court with jurisdiction for urgent or injunctive relief, including to protect copyright.
26.8 Rights you can't give up. Nothing in this section takes away any right you have under consumer protection law where you live that can't lawfully be given up by agreement.
These Terms and any dispute arising from them are governed by the laws of [Governing law: owner to supply], without regard to its conflict-of-law rules. Subject to section 26, the courts of [Jurisdiction: owner to supply] have exclusive jurisdiction, except that we may bring proceedings to protect our copyright in any court with jurisdiction, and you keep the protection of any consumer protection law where you live that can't be given up. If you use the Site from outside [Jurisdiction: owner to supply], you are responsible for following your own local laws.
We may change these Terms at any time. The "Last updated" date at the top of this page shows when they last changed. Changes apply to new customers as soon as they are posted, and to existing customers 30 days after posting. If you keep using the Site or any Product after that, you accept the change. A change to these Terms will never raise the price of a purchase you have already made.
We may transfer these Terms and our rights and duties under them, in whole or in part, without your consent, including as part of a merger, acquisition, reorganization or sale of assets. You may not transfer these Terms or your license to any Product without our written consent.
If any part of these Terms is found invalid or unenforceable, it will be changed only as much as needed to make it enforceable, or removed if that isn't possible, and the rest stays in force. If we don't enforce a provision, we haven't given it up. These Terms, together with the Privacy Policy, the Refund Policy and the Earnings Disclaimer, are the entire agreement between you and us about the Site and the Products, and replace any earlier agreement, statement or understanding, written or spoken. Nothing in this paragraph limits liability for fraudulent misrepresentation.

By completing a purchase or using the Site, you confirm that you have read and understood these Terms, including the earnings disclaimer in section 12, the limitation of liability in section 18, and the arbitration, class action waiver and opt-out terms in section 26, and that you agree to them.
